Ces changements ont \u00e9t\u00e9 initi\u00e9s par le gouvernement am\u00e9ricain dans le but d\u2019am\u00e9liorer la transparence des entreprises, et de lutter contre les activit\u00e9s financi\u00e8res illicites facilit\u00e9es par des soci\u00e9t\u00e9s \u00e9crans anonymes.<\/p>\n<p>Nous vous proposons ci-dessous un aper\u00e7u de cette r\u00e8glementation pour vous aider \u00e0 comprendre les \u00e9l\u00e9ments cl\u00e9s du CTA et son impact potentiel sur votre entreprise. Nous esp\u00e9rons que ce r\u00e9capitulatif vous sera utile.<\/p>\n<p><strong>Votre soci\u00e9t\u00e9 est peut-\u00eatre concern\u00e9e<\/strong><\/p>\n<p>Le champ d&rsquo;application du CTA est large, ce qui signifie que votre soci\u00e9t\u00e9 est susceptible d&rsquo;\u00eatre soumise \u00e0 ces nouvelles obligations de d\u00e9claration. Les soci\u00e9t\u00e9s d\u00e9clarantes comprennent les entit\u00e9s nationales et \u00e9trang\u00e8res (corporations, LLCs, et autres entit\u00e9s priv\u00e9es similaires) cr\u00e9\u00e9es ou enregistr\u00e9es \u00c9tats-Unis. Il existe quelques exceptions, notamment pour les entit\u00e9s qui emploient plus de 20 salari\u00e9s bas\u00e9s aux \u00c9tats-Unis, ayant d\u00e9pos\u00e9 des d\u00e9clarations fiscales am\u00e9ricaines faisant \u00e9tat de plus de 5 millions de dollars de recettes brutes ou de ventes aux Etats-Unis, et qui disposent d&rsquo;au moins un <span class=\"ui-provider a b c d e f g h i j k l m n o p q r s t u v w x y z ab ac ae af ag ah ai aj ak\" dir=\"ltr\">bureau <\/span>sur le sol am\u00e9ricain.<\/p>\n<p><strong>D\u00e9claration des B\u00e9n\u00e9ficiaires Effectifs<\/strong><\/p>\n<p>Les soci\u00e9t\u00e9s d\u00e9clarantes devront divulguer des informations sur les b\u00e9n\u00e9ficiaires effectifs de la soci\u00e9t\u00e9, c&rsquo;est-\u00e0-dire les personnes physiques exer\u00e7ant un \u00ab contr\u00f4le substantiel \u00bb (<span class=\"ui-provider a b c d e f g h i j k l m n o p q r s t u v w x y z ab ac ae af ag ah ai aj ak\" dir=\"ltr\">direct ou indirect<\/span>) sur la soci\u00e9t\u00e9 ou d\u00e9tenant une participation d&rsquo;au moins 25 % dans ladite soci\u00e9t\u00e9. Les crit\u00e8res du \u00ab contr\u00f4le substantiel \u00bb sont les suivants :<\/p>\n<ul>\n<li>Exercer des fonctions de cadre dirigeant.<\/li>\n<li>Exercer une autorit\u00e9 sur les cadres dirigeants ou sur une majorit\u00e9 du conseil d&rsquo;administration.<\/li>\n<li>Exercer une influence significative sur les d\u00e9cisions de la soci\u00e9t\u00e9.<\/li>\n<li>Toute autre forme de contr\u00f4le substantiel.<\/li>\n<\/ul>\n<p><strong>Proc\u00e9dure de d\u00e9claration<\/strong><\/p>\n<p>Les soci\u00e9t\u00e9s d\u00e9clarantes devront fournir des informations \u00e0 la fois sur l&rsquo;entit\u00e9 elle-m\u00eame et sur chaque personne physique qui repr\u00e9sente un b\u00e9n\u00e9ficiaire effectif.<\/p>\n<ul>\n<li>Informations sur la soci\u00e9t\u00e9 : D\u00e9nomination sociale compl\u00e8te, nom commercial ou d\/b\/a, adresse de l&rsquo;\u00e9tablissement principal aux \u00c9tats-Unis, juridiction de constitution et num\u00e9ro d&rsquo;identification fiscale aux Etats-Unis.<\/li>\n<li>Informations sur le ou les b\u00e9n\u00e9ficiaire(s) effectif(s): Le nom de la personne physique, sa date de naissance, l\u2019adresse de son domicile, un num\u00e9ro de pi\u00e8ce d\u2019identit\u00e9 unique (provenant d&rsquo;un passeport am\u00e9ricain ou d&rsquo;un passeport \u00e9tranger non p\u00e9rim\u00e9), ainsi qu\u2019une copie de ce document.<\/li>\n<\/ul>\n<p>Bien que les formulaires d\u00e9taill\u00e9s n&rsquo;aient pas encore \u00e9t\u00e9 publi\u00e9s, les rapports seront principalement soumis par voie \u00e9lectronique via un portail du FinCEN. Le FinCEN d\u00e9veloppe actuellement des syst\u00e8mes s\u00e9curis\u00e9s et confidentiels afin de faciliter et prot\u00e9ger cet \u00e9change d&rsquo;informations, en veillant \u00e0 ce qu&rsquo;elles restent inaccessibles au public.<\/p>\n<p>Les sanctions pour non-conformit\u00e9 comprennent des amendes civiles de 500 $ par jour de non-conformit\u00e9 et des sanctions p\u00e9nales pouvant aller jusqu&rsquo;\u00e0 10 000 $ ou 2 ans d&#8217;emprisonnement.<\/p>\n<p><strong>Prochaines dates importantes<\/strong><\/p>\n<ul>\n<li><u>Entreprises existantes :<\/u> Les entit\u00e9s cr\u00e9\u00e9es ou enregistr\u00e9es aux \u00c9tats-Unis avant le 1er janvier 2024 disposeront d&rsquo;une ann\u00e9e compl\u00e8te, jusqu&rsquo;au 1er janvier 2025, pour se conformer au CTA en d\u00e9posant leur rapport initial.<\/li>\n<li><u>Nouvelles entreprises :<\/u> Les entit\u00e9s cr\u00e9\u00e9es ou enregistr\u00e9es \u00e0 partir du 1er janvier 2024 devront d\u00e9poser leur rapport initial dans les 30 jours suivant leur cr\u00e9ation ou leur enregistrement aux \u00c9tats-Unis.<\/li>\n<\/ul>\n<p><strong>Notre accompagnement sur les enjeux de compliance \u00e0 venir <\/strong><\/p>\n<p>Nous sommes conscients que ces nouvelles exigences r\u00e9glementaires peuvent \u00eatre complexes.
